FSFM of Russia Registered Share Issue Results Report

Federal Service of Financial Markets (FSFM) of the Russian Federation registered the report on results of additional share issue (state registration number 1-01-55038-Е-039D from December 2, 2010) of JSC RusHydro on April 21, 2011.

The issue was placed on March 29, 2011. A total of 1,607,271,577 shares were placed via a public offering, i.e. 86.41% from the total number of additional share issue. Securities have been paid by cash. A total of 2,587,707,238.97 was raised by RusHydro from share issue.
The decision to increase the share capital of RusHydro was made by the EGM on October 22, 2010.
The price of additional shares (including for shareholders with preemptive rights) was set by the Board of Directors of RusHydro at RUR 1.61 per share on December 8, 2010 in accordance with articles 36 and 77 of the Federal law on Joint Stock Companies.
Transactions with shares of additional issue on RTS Stock Exchange will be possible after several says following the registration of the share issue results report, on MICEX Stock Exchange - after the securities are admitted to trading (approximately - end of May 2011). The combination of the additional share issue with the main issue will be done by FSFM within 14 days after 3 months from the date of registration of the report on results of additional share issue.
