INTER RAO UES holds extraordinary general meeting of shareholders

An INTER RAO UES extraordinary general meeting of shareholders was held using distance voting. The meeting approved related-party transactions concerning the acquisition of INTER RAO UES additional-issue ordinary shares by INTER RAO Capital and INVEST RAO Invest.

In addition, INTER RAO UES shareholders approved the respective loans by OAO INTER RAO UES to the aforementioned subsidiaries.
These decisions were made in connection with the placement in favor of INTER RAO Capital and INVEST RAO Invest of additional INTER RAO UES shares totaling more than 2% of ordinary shares. Payment for these shares is planned using cash and stock owned by INTER RAO Capital and INVEST RAO Invest in the power industry. To facilitate the purchase, INTER RAO UES plans to provide INTER RAO Capital and INVEST RAO Invest with an interest-free loan till 1 January 2013.
